Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website unchartedinsights.com and any consulting or advisory services provided by Uncharted Insights ("we," "us," or "our"). By accessing our site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.

Acceptance of Terms

By visiting unchartedinsights.com, submitting a contact form, booking a discovery call, or engaging Uncharted Insights for any consulting or advisory services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you (or the organization you represent) and Uncharted Insights. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Services Description

Uncharted Insights provides consulting, advisory, and workshop services focused on human core capability development, AI readiness, strategy, and talent architecture for leaders and organizations. Our offerings include, but are not limited to:

  • AI Readiness & Human Diagnostic assessments

  • Human Core Capability Mapping engagements

  • Strategy & Talent Architecture consulting

  • Executive & Team Workshops (half-day and full-day facilitated sessions)

  • AI Transition & Capability Advisory (ongoing thought partnership)

  • Complimentary Discovery Calls

The specific scope, deliverables, timelines, and fees for any engagement will be outlined in a separate agreement, proposal, or statement of work agreed upon by both parties prior to work commencing.

Eligibility

Our website and services are intended for business professionals, leaders, and organizations. You must be at least 18 years of age to use this site or engage our services. By using our site, you represent that you meet this requirement.

We reserve the right to refuse service to anyone for any lawful reason, at our sole discretion.

Engagements & Booking

Discovery calls booked through our scheduling tool are complimentary and do not constitute a contractual commitment to services. They are exploratory conversations to determine whether a formal engagement is appropriate.

Formal consulting or workshop engagements begin only upon execution of a written agreement, proposal, or statement of work signed by both parties. No consulting relationship is established solely by use of this website or participation in a discovery call.

Important

The information shared during a discovery call is used solely to understand your needs and determine fit. It does not create a client relationship or give rise to any confidentiality obligations unless separately agreed upon in writing.

Payment & Fees

Fees for services will be set out in the applicable proposal or statement of work. Unless otherwise specified in writing:

  • Invoices are due within 30 days of the invoice date.

  • Late payments may be subject to a late fee of 1.5% per month (or the maximum allowed by applicable law) on any outstanding balance.

  • We reserve the right to pause or suspend services if invoices remain unpaid beyond the due date.

  • All fees are quoted in U.S. dollars unless otherwise agreed.

Expenses (travel, materials, third-party tools) incurred in connection with an engagement will be invoiced separately and require prior written approval.

Cancellation & Rescheduling

Discovery calls: You may cancel or reschedule a discovery call at any time at no cost. We appreciate at least 24 hours' notice so we can offer that time to others.

Paid engagements: Cancellation terms for workshops, advisory retainers, and other paid engagements will be specified in the applicable agreement. In general:

  • Cancellations with 14+ days' notice prior to a scheduled workshop will receive a full refund of any deposit, less any non-recoverable expenses already incurred.

  • Cancellations with fewer than 14 days' notice may result in forfeiture of the deposit or a cancellation fee, as outlined in the engagement agreement.

  • We reserve the right to cancel or reschedule engagements due to circumstances beyond our control (force majeure). In such cases, we will work with you in good faith to find an alternative date or provide a pro-rated refund.

Intellectual Property

All content on this website — including text, frameworks, methodologies, graphics, logos, and the Uncharted Insights brand — is the property of Uncharted Insights and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

Deliverables from engagements: Unless otherwise agreed in writing, Uncharted Insights retains ownership of all underlying methodologies, frameworks, tools, and pre-existing intellectual property used in or resulting from an engagement. Upon full payment, clients receive a non-exclusive, non-transferable license to use the specific deliverables created for them for their internal business purposes.

Client materials: Any materials, data, or information you provide to us remain your property. You grant us a limited license to use such materials solely for the purpose of performing the agreed services.

Confidentiality

We understand that in the course of an engagement, both parties may share sensitive business information. Any mutual confidentiality obligations will be set out in the applicable engagement agreement or a separate non-disclosure agreement (NDA).

In the absence of a signed confidentiality agreement, we will treat information you share with us in a professional and discreet manner and will not disclose it to third parties except as required to perform the services or as required by law.

Disclaimers

Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.

No guaranteed outcomes: Our consulting and advisory services represent our professional judgment and experience. We do not guarantee specific business outcomes, results, or performance improvements. Results will vary based on factors outside our control, including client implementation and market conditions.

Not legal or financial advice: Nothing on this website or provided in our engagements constitutes legal, financial, accounting, or regulatory advice. You should consult qualified professionals for advice specific to your legal or financial situation.

Limitation of Liability

To the fullest extent permitted by applicable law, Uncharted Insights and its owner(s) shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising out of or related to your use of this website or our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Uncharted Insights in the three months preceding the event giving rise to the claim.

Note

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Uncharted Insights and its owner(s), employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of our website or services in violation of these Terms;

Your violation of any applicable law or regulation; or

Any misrepresentation made by you in connection with an engagement.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree that any dispute arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

Informal resolution: Before initiating any formal legal proceeding, you agree to contact us in good faith and attempt to resolve any dispute informally. We will make a reasonable effort to resolve the matter within 30 days of receiving written notice of your concern.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be communicated via a notice on our website.

Your continued use of our website or services after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
